Program Overview(Required)The Parties agree to collaborate on a 30-hour Pilates Teacher Training (the “Training”) to be hosted at 423 Yoga and led by Ava. Training Dates: July 31 – August 16, 2026 Location: 423 Yoga Studio Format: In-person training delivered over three weekends I confirm that I have read and understood the terms outlined above.2. Pricing Structure(Required)The Training will be offered at the following price tiers: - $900 – Early Bird (through May 30, 2026) - $1050 – Standard Pricing (after May 30, 2026) - $800 – Discounted rate for current 423 Yoga teachers The Studio retains discretion over promotional pricing or discounts; however, such discounts shall not alter Ava’s agreed compensation structure outlined below. Revenue Share & Compensation(Required)The Parties agree to a 55% / 45% revenue split (Ava / Studio) based on net revenue as defined by prior agreement. Based on current pricing, Ava’s compensation per enrollee is as follows: - $456 per Early Bird participant - $536 per Standard Pricing participant - $403 per 423 Teacher participant Payments to Ava shall be made 50% July 30 and remaining August 16, 2026. Minimum Enrollment Requirement(Required)The Training will only proceed if minimum enrollment is met: - A minimum of 10 participants at Early Bird or Standard Pricing ($900 / $1050) must be enrolled by June 30, 2026. Roles & Responsibilities(Required)Ava Responsibilities - Lead and deliver all Training curriculum - Provide proprietary Training materials and manual - Oversee educational quality and student experience - Approve any recordings or content capture Studio Responsibilities - Provide studio space and equipment - Manage registration, payments, and customer communication - Lead marketing and student recruitment efforts - Cover operational costs including (but not limited to): -- Credit card processing fees -- Printed training manuals I confirm that I have read and understood the terms outlined above.6. Intellectual Property & Content Protection(Required)Ownership All Training materials, including but not limited to manuals, sequences, language, images, diagrams, recordings, and teaching methodologies, are the sole intellectual property of THE WORK by Ava. Use of Materials Materials may only be used for this specific Mat Pilates Teacher Training conducted by Ava at 423 Yoga. Materials may not be reused, repurposed, distributed, or adapted for any other training or offering. If future collaborations do not occur: Neither Party may use the materials for independent trainings or commercial purposes. Recording & Filming No filming, recording, or photography is permitted without explicit written consent from Ava. Any approved recordings: Must be hosted exclusively on THE WORK by Ava platform May not be downloaded, redistributed, or repurposed Students needing to make up time or material missed should meet with other students or staff of 423. It is their responsibility to cover the missed material. Recordings will not be offered for this training. AI & Digital Use Restrictions Due to the proprietary nature of the Training: No materials, recordings, images, or content may be: Uploaded to AI tools or machine learning platforms Used for dataset training Digitized for replication or derivative use I confirm that I have read and understood the terms outlined above.7. Manual Usage Restrictions(Required)The Mat Pilates Teacher Training manual is exclusive to this collaboration It may not be used: - In other studio trainings - By third-party instructors - In any format outside Ava-led programs at 423 Yoga If the partnership discontinues: - The manual may not be reused by either Party for any future training or commercial purpose I confirm that I have read and understood the terms outlined above.8.
